Export Controls & Trade Compliance

Valueye Technologies is committed to conducting its global business in strict adherence to international trade laws, export controls, import regulations, and economic sanctions enforced by the United Nations, the United States, the European Union, the United Kingdom, and the jurisdictions where our software products and engineering services are delivered.

All enterprise clients, licensees, integration partners, and resellers must comply with all applicable trade control and export laws in their purchase, access, receipt, and deployment of Valueye software, source code, AI models, and cloud services.

Valueye software products and cloud platforms utilize modern encryption algorithms (including TLS 1.3, AES-256-GCM, and SHA-256) designed for commercial data protection, database privacy, and secure communications:

• 01Commercial Classification: Valueye software is engineered exclusively for civil, commercial enterprise, and institutional business management purposes. None of our products are designed, developed, or modified for military, defense, or dual-use weapon systems.
• 02Cryptographic Standards: Software encryption features fall under mass-market cryptographic provisions and are publicly standard algorithms designed to safeguard sensitive enterprise records.
• 03Re-Export & Transfer Restrictions: Customers shall not re-export, transfer, or release Valueye software, source code, or technical data to any prohibited country, entity, or end-user without first obtaining all mandatory governmental licenses and authorizations.

Customer warrants and represents that neither it, nor any of its subsidiaries, affiliates, directors, officers, or beneficial owners:

• 01Is located, organized, or resident in any country or territory subject to comprehensive international trade sanctions (including Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine).
• 02Is designated on any restricted party list maintained by international authorities, including the US Department of the Treasury's Specially Designated Nationals (SDN) list, US Entity List, EU Consolidated Financial Sanctions List, UK Consolidated Sanctions List, or United Nations Security Council Sanctions List.
• 03Is owned 50% or more, directly or indirectly, individually or in the aggregate, by one or more sanctioned persons.

To prevent unauthorized cross-border diversion, Valueye conducts rigorous compliance due diligence prior to executing international contracts, delivering source code repositories, or provisioning enterprise private cloud instances:

• 01Know Your Customer (KYC): Verification of corporate registration, ultimate beneficial ownership (UBO), and operating jurisdiction for all contracting parties.
• 02Automated Sanctions Screening: Periodic automated screening of client entities and key management personnel against global trade denial and designated persons databases.
• 03End-Use Certification: In high-value international software builds, customer may be requested to execute a formal End-User and End-Use Statement certifying civil commercial usage.

Valueye enforces zero tolerance toward commercial bribery, kickbacks, and corrupt payments of any kind, whether direct or through intermediaries. Valueye strictly complies with the US Foreign Corrupt Practices Act (FCPA), the UK Bribery Act 2010, the Indian Prevention of Corruption Act 1988, and international anti-bribery conventions.

No Valueye employee, contractor, agent, or representative is authorized to offer, pay, promise, or solicit anything of value to or from any government official, regulatory officer, state-owned enterprise employee, or private commercial party to improperly obtain or retain business.

Any violation of this Export Controls & Trade Compliance Policy constitutes a material, incurable breach of contract. Valueye reserves the absolute right to immediately terminate client software licenses, suspend cloud tenant access, and cease all engineering services without liability or refund upon reasonable suspicion or discovery of trade control, export, or sanctions violations.
