By accessing or using the website valueye.in, utilizing our cloud applications, software development solutions, or engaging Valueye Technologies ('Company', 'we', 'us', or 'our') for engineering services, you ('Client', 'User', or 'you') agree to be bound by these Terms of Service.

If you are entering into this agreement on behalf of a corporate entity, company, or institution, you represent and warrant that you possess full legal authority to bind such entity to these Terms.

Valueye provides enterprise technology consulting, custom fullstack SaaS development, AI agent implementation, RAG data indexing pipelines, and brand experience design. Specific scope details, delivery milestones, and financial terms are governed by Master Services Agreements (MSAs) or Statements of Work (SOWs) executed between the parties.

• 01Ownership of custom deliverables, pre-existing materials, third-party components, and intellectual-property assignments is determined by the executed Statement of Work or Master Services Agreement. No transfer is implied beyond those written terms.
• 02Valueye retains ownership of pre-existing core libraries, foundational UI design systems, open-source boilerplate frameworks, and general engineering toolkits utilized during production.
• 03Clients are granted an irrevocable, royalty-free, worldwide license to modify and deploy any embedded foundational frameworks integrated into their final product deliverables.

When utilizing Valueye AI services, intelligent process automation agents, or RAG database search engines:

• 01Proprietary Enterprise Data: Client internal documents, database records, and vector embeddings uploaded to private AI models remain strictly client-owned data.
• 02Model Use: Valueye does not use proprietary client data to train public foundation models without explicit written authorization.
• 03Deployment and Retention: Model provider, hosting location, retention controls, access boundaries, and customer responsibilities are defined for each engagement and depend on the selected services and configuration.

Consulting and software development services are billed on a milestone or time-and-materials basis as defined in the applicable SOW. Invoices are payable within fourteen (14) days of receipt unless otherwise negotiated.

To the maximum extent permitted by law, Valueye Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill arising out of or related to your use of our services.

In no event shall Valueye's total cumulative liability exceeding the total fees paid by Client to Valueye under the specific SOW giving rise to the claim during the six (6) month period immediately preceding the event.

Either party may terminate a service agreement upon thirty (30) days written notice if the other party materially breaches any term and fails to cure such breach within the cure period.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any legal disputes shall be subject to the exclusive jurisdiction of the competent courts in Mumbai, India.
